SEBI / Stock Exchange Valuations is required in following cases-

• Exit opportunity to Shareholders of Exclusive Listed Companies (ELC) in terms of SEBI Circular SEBI/HO/MRD/DSA/CIR/P/2016/110 dated October 10, 2016 for determination of Exit price
• Preferential Issue of Shares of a Listed company where shares are infrequently traded for determination of the base price for such allotment
• Open Offer (Takeover Code) in case of Listed company where shares are infrequently traded for determination of base price for giving offer to public shareholders
• Valuation of Assets (business) if consideration other than Cash is issued to Promoters or Person acting in concert (PAC) for determination of fair value of the business/company belonging to the promoter group
• Delisting of Shares
• Transactions in REIT/Inv IT Assets

Approaches and Methodologies for SEBI / Stock Exchange Valuation?

For Preferential allotment , Open and Delisting offer where shares are infrequently traded methods including book value, Comparable Trading Multiples and such other parameters as are customary for valuation of such companies are prescribed.

For Valuation of Exit Opportunity to shareholders of ELC and Valuation of Assets (business) if consideration other than Cash is issued to Promoters and Transactions in REIT and InvIT assets, no specific valuation methodology has been prescribed and it has to be done based on facts of each case.

Who can do SEBI / Stock Exchange Valuation?

For Valuation of Exit Opportunity to shareholders of ELC, only independent valuer empanelled with BSE/NSE is authorized

For Valuation of Assets (business) if consideration other than Cash is issued to Promoters and for Delisting – a CA or Merchant Banker is permitted to do the same

For Valuation of Open offer where shares are infrequently traded, an independent Merchant Banker or independent CA with 10 years of experience
